Trade-secret protection depends on defining valuable confidential information and applying real access controls, while a technology-transfer agreement must specify permitted uses and ownership of improvements.

01 /

Define the confidential material

Identify the version and scope of drawings, code, formulae, customer data or pricing. Public information, independent development and lawful prior possession should be addressed as exclusions.

02 /

Apply reasonable secrecy measures

Use role-based access, logging, classification, encryption, physical protection and an employee exit process. A confidentiality stamp alone is weak if access is uncontrolled.

03 /

Structure technology transfer

Set field, territory, term, sublicensing, improvements, grant-backs and technical support. Competition, export-control, tax and data-protection issues may require separate review.

04 /

Evidence of suspected misuse

Preserve access and download logs, device returns, email, repositories and contract versions lawfully. Leaving employment or joining a competitor alone does not prove misuse; the information used and resulting harm must be connected.
